1. Acceptance of Terms

By downloading, installing, or using the InOut Desk mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and InOut Desk ("Company," "we," "us," or "our") regarding your use of the App.

2. Description of Service

InOut Desk is a workplace attendance tracking application that enables:

Automatic check-in and check-out using geofencing technology

Manual check-in and check-out at designated locations

Visit history tracking and reporting

Integration with Microsoft Dataverse for data storage

Push notifications for attendance events

3. User Accounts and Authentication

To use InOut Desk, you must:

Have a valid Microsoft organizational account

Be authorized by your organization to use the App

Provide accurate and complete information

Maintain the security of your account credentials

You are responsible for all activities that occur under your account.

4. Location Services

The App requires access to your device's location services to provide automatic check-in functionality. By enabling location services, you consent to:

Collection of your precise location data

Background location monitoring for geofence detection

Storage and transmission of location data to your organization

You may disable location services at any time through your device settings, but this will limit the App's functionality.

5. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the App for any fraudulent purpose

Attempt to falsify check-in or check-out records

Interfere with or disrupt the App's functionality

Attempt to gain unauthorized access to the App or its systems

Use the App in violation of your organization's policies

Reverse engineer, decompile, or disassemble the App

6. Intellectual Property

The App and its original content, features, and functionality are owned by InOut Desk and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose, subject to these Terms.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you consent to our data practices as described in the Privacy Policy.

Your organization may have additional data policies that apply to your use of the App.

8. Third-Party Services

The App integrates with third-party services including:

Microsoft Azure Active Directory for authentication

Microsoft Dataverse for data storage

Device location services (iOS/Android)

Your use of these services is subject to their respective terms and conditions.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INOUT DESK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability shall not exceed the amount paid by you, if any, for accessing the App during the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless InOut Desk and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

12. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

Your right to use the App will immediately cease

You must delete the App from your device

Provisions that should survive termination will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice in the App or through other communication methods. Your continued use of the App after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InOut Desk operates, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable rules.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and InOut Desk regarding the use of the App and supersede all prior agreements and understandings.
